About

Stephanie’s main area of practice is  real estate development, with a focus on the acquisition, leasing, financing, development, sale and exchange of various types of commercial properties, including office, medical office, multi- family, shopping center, retail, flex and multi-use projects.  She is experienced in negotiating, drafting, reviewing and analyzing complex and multiple integrated documents such as purchase and sale agreements, options, leases, loan documents, easements, declarations and covenants.  Stephanie has also implemented defeasance transactions, Section 1031 exchanges, reverse exchanges and tenant in common exchanges.  Stephanie’s approach to her work is to achieve the client’s goals and identify and reduce risk.

Stephanie also works with clients in business and corporate transactions including acquisitions, entity formation, mergers, and purchase and sale of assets and ownership interests.

Professional Background/Achievements

Stephanie previously served as a Member of the Board of Directors and Executive Committee of Downtown Durham Inc. in 2012 and has also served as Past Chair.  In addition, Stephanie previously served as a Member of the Board of Directors and Executive Committee of The Durham Chamber of Commerce.

Education/Achievements

Stephanie received her J.D. in 1984 from the University of North Carolina with high honors.  She was a staff member of the North Carolina Law Review and a member of Order of the Coif.  She received her undergraduate degree from West Virginia University with high honors.

Stephanie was included in The Best Lawyers in America 2013 edition for her work in Real Estate Law.

Representative Work

Stephanie’s representative experience includes:

  • Represented owner/developer in negotiating and drafting multiple leases for a mixed use development and in financing and refinancing the project.
  • Represented owner in the development, leasing and sale of a 220,000 square foot office building.
  • Represented client in the leasing of multiple medical office buildings.
  • Represented client/developer in the acquisition of properties, formation of ownership entities and drafting easements and restrictive covenants for a downtown mixed use project.
  • Represented client as local counsel in multiple acquisitions and financings of apartments for student housing.
  • Represented owner/developer of two of the three largest office buildings in downtown Durham and represented the construction lender of the third.
  • Represented owner/developer in the development of a 240-acre multi-use office park, including leasing, sale, and/or 1031 exchange of approximately 20 buildings (office, flex, townhomes, and other commercial uses).
  • Represented owner/developer in the land acquisition and leasing to a major hospital provider and sale of medical office buildings located in the southeast.
  • Represented owner in multiple acquisitions, financing, ground leases and sales of shopping centers.
  • Represented owner/developer of residential subdivision, including land acquisition, financing and restrictive covenants.
  • Represented client in purchasing an undeveloped island and subsequent sale of property to a land trust, capturing tax savings.
  • Represented purchaser in two transactions involving the acquisition and financing of 36 convenience stores/gas stations.
  • Represented businesses and shareholders of significant Durham companies in the acquisition and sale of locations, mergers, venture capital financing, asset purchases and sales and stock purchases and sales.
  • Represented client in multiple purchases, sales, 1031 exchanges and leases of aircraft.
