Our Raleigh-based team combines transactional attorneys who counsel clients on technology deals large and small with litigators who help clients resolve commercial and intellectual property disputes and litigation. Our team includes two attorneys who each spent several years developing computer software for software companies prior to embarking on their legal careers, allowing them to bring substantial technical and industry experience to each project.

Our technology and licensing lawyers regularly:

•Negotiate and draft the full range of business contracts, including license agreements, software as a service agreements, “everything-as-a-service” agreements, acquisition agreements, managed services contracts, confidentiality and non-disclosure agreements, reseller agreements, development agreements, strategic alliance agreements, source code escrow agreements, collaboration agreements, among others.

•Assist clients in maximizing the value of their intellectual property assets, including obtaining federal registrations for their trademarks and copyrights, and leveraging their rights through licensing agreements

•Provide day-to-day guidance as outside general counsel for emerging companies; we work closely with our corporate venture capital, and employment law practice areas when serving as outside general counsel

•Manage compliance with a growing and varied list of privacy laws, including HIPAA, FERPA, COPPA, the EU Data Protection Directive, and state data breach statutes

Our litigators include lawyers with who represent both plaintiffs and defendants in cases involving:

•Copyright, trademark, and patent infringement litigation

•Complex commercial litigation disputes in federal and state court and in private arbitration and alternative dispute resolution (ADR)
