Nick Bogdash is a corporate and real estate attorney in our Raleigh office who assists clients with a wide range of legal matters and transactions. He advises companies on general business issues, mergers and acquisitions, and commercial real estate matters, including land use, financing and structuring, and acquisitions.

As a transactional attorney, Nick loves digging into the details. He enjoys putting his financial background to work for corporate and real estate clients and takes pride in diving into his clients’ businesses to better understand their goals. His knowledge of the tax code helps to provide comprehensive advice to clients in all aspects of structuring their businesses.

Prior to joining Morningstar Law Group, Nick worked with another North Carolina law firm where he assisted small and middle market companies with mergers and acquisitions, real estate finance, and tax strategy.

When he’s not practicing law, Nick enjoys attending Carolina Hurricanes’ games with his fiancé and playing ice hockey.

  • Represents numerous architecture, engineering, surveying, landscape architecture, and related professional firms and contractor firms of all sizes in acquisitions and dispositions throughout Europe and North America (USA and Mexico), including Arizona, California, Florida, Massachusetts, New Jersey, North Carolina, Pennsylvania, Virginia and Washington, among others.
  • Represents regional, national and international architecture, engineering, and related professional service and contractor firms in structuring their business for compliance with state licensing board laws such as North Carolina licensing board laws, including representing buyers and sellers of North Carolina pre-1969 grandfather corporations.
  • Represented the owners of an engineering company in the $115 million sale of its business utilizing an F-Reorganization structure.
  • Represents numerous landowners and developers in corporate and tax structuring, including entities structured as corporations and limited liability companies and taxed as corporations, s-corporations, and partnerships.
