Scott is a finance lawyer and corporate attorney who represents investors, banks and companies in a wide variety of transactions.

He has more than two decades of experience advising clients on complex financial and corporate transactions, including acquisition finance, project finance, leveraged finance, refinancing and restructuring, and mergers and acquisition matters.

Scott’s restructuring experience provides unique insights that enable him to anticipate outcomes clients may face during a restructuring, refinancing, or general corporate transaction, and advise them accordingly.

Representative Experience

  • Represented Bank of America in the trading of distressed debt instruments with commercial banks and hedge funds.
  • Represented Barclays Bank in the negotiation and documentation of senior credit facilities for the development and construction of project finance projects.
  • Restructuring counsel responsible for complex avoidance actions, valuation disputes, director and officer claim evaluation, cross-border inter-company disputes and contested asset sales.
  • Represented Morgan Stanley in connection with warehouse residential and commercial mortgage credit and repurchase facilities.
  • Represented Misoxer Kraftwerke AG and Elektrizitäts-Gesellschaft Laufenburg AG in connection with a cross-border leveraged lease for Misoxer Kraftwerke AG.
  • Led financing transactions to close $100 million of early-stage preferred equity investments in Sphera Optical Networks by Soros Private Equity Partners, The Mayfield Fund, Worldview Technology Partners, Pequot Private Equity, and Oak Investment Partners.
  • Served as a liquidating trustee and as General Counsel of chapter 11 debtors.
  • Represented Global Crossing in connection with the negotiation of billions of dollars of project finance transactions, including the documentation of complex project operations, administration and maintenance agreements, and cross-border buy-sell transaction structures.
